Terms of Service

By creating an account, completing a purchase, calling our API, or otherwise using the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service. We may update these Terms by posting a revised version on this page and updating the "Last updated" date. Material changes may also be communicated by email or in-product notice. Continued use after the effective date constitutes acceptance. If you do not agree to updated Terms, you must stop using the Service and cancel any paid subscription.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service, or at least 13 with verifiable parental or guardian consent where permitted by law. You may not use the Service if you are barred under applicable sanctions, export-control, or anti-terrorism laws, or if we have previously suspended or terminated your access.

You are responsible for:

• Providing accurate registration information and keeping it current
• Maintaining the confidentiality of credentials, sessions, and API keys
• All activity under your account, except unauthorized access you promptly report
• Notifying us immediately of suspected compromise at noterefiner@gmail.com

We may refuse registration, reclaim usernames, require re-authentication, or restrict accounts that appear fraudulent, abusive, or insecure.

NoteRefiner provides AI-assisted text refinement and related features (including style presets, credit-based usage, history, team features where offered, and API access on eligible plans). Output is generated algorithmically and may be inaccurate, incomplete, biased, or unsuitable for your purpose. You are solely responsible for reviewing, editing, and deciding whether and how to use any output. The Service is a writing-assistance tool and is not legal, medical, financial, academic, or other professional advice.

• Plans. Free and paid plans, credit allotments, rate limits, and feature access are described on our pricing pages and may change prospectively.
• Credits. Credits measure usage (generally one credit per word processed, subject to plan rules). Unused subscription credits may reset or expire according to plan terms; promotional or referral top-ups may follow different rules.
• Billing. Paid subscriptions and top-ups are processed by our payment provider(s). Prices may exclude taxes; you are responsible for applicable taxes unless we collect them.
• Renewals. Subscriptions renew automatically until canceled through the billing portal or as otherwise instructed in the Service.
• Refunds. Except where required by mandatory consumer law, fees are non-refundable once credits or plan benefits have been made available. If you are dissatisfied, contact noterefiner@gmail.com within seven (7) days of purchase and we will review the request in good faith.
• Chargebacks. Unjustified chargebacks or payment disputes may result in suspension pending resolution.

You agree not to, and not to allow others to:

• Violate any applicable law, regulation, or third-party right
• Use the Service to cheat, misrepresent authorship, evade academic integrity rules, or violate institutional policies (see also our Responsible Use guidelines)
• Submit unlawful, harmful, infringing, defamatory, or malicious content
• Probe, scan, reverse engineer (except where mandatory law permits), or disrupt the Service
• Bypass rate limits, credit metering, authentication, or security controls
• Resell, sublicense, or provide the Service as a competing product without our written consent
• Use automated means to scrape the Service except via documented APIs within plan limits
• Misrepresent affiliation with NoteRefiner or use our marks without permission

We may investigate violations, remove content, throttle usage, suspend or terminate accounts, and cooperate with lawful requests from authorities where required.

You retain ownership of text and materials you submit ("User Content"). You grant NoteRefiner a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display User Content solely as needed to operate, secure, improve, and provide the Service (including through subprocessors). You represent that you have all rights necessary to submit User Content and that doing so does not violate law or third-party rights. Output generated for you may be used by you subject to these Terms and any third-party model provider restrictions that apply to us.

The Service, software, models configuration, branding, documentation, and all related intellectual property remain owned by NoteRefiner and its licensors. Except for the limited right to use the Service under these Terms, no rights are granted by implication or otherwise. Feedback you provide may be used by us without obligation to you.

Where your plan includes API access, keys are confidential, personal to your account, and subject to documented rate limits and credit metering. You must rotate keys if compromised. We may revoke keys or API access for abuse, security risk, or Terms violations.

The Service relies on third parties (for example authentication, payments, hosting, email, and AI model providers). Their terms and privacy practices apply to their processing. We are not responsible for third-party outages, policy changes, or decisions by third-party writing, originality, plagiarism, or classroom tools regarding content you produce with or without the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT OUTPUT WILL BE ACCURATE OR FIT FOR ANY PURPOSE; OR THAT USE OF THE SERVICE WILL PRODUCE ANY PARTICULAR RESULT WITH THIRD-PARTY DETECTORS, EDUCATIONAL INSTITUTIONS, EMPLOYERS, OR PUBLISHERS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTEREFINER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY TWELVE-MONTH PERIOD SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE JURISDICTIONS OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.

You will defend, indemnify, and hold harmless NoteRefiner and its affiliates from and against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Service, your violation of these Terms or applicable law, or your infringement of third-party rights.

You may stop using the Service at any time and cancel paid subscriptions through the billing portal. We may suspend or terminate access immediately for breach, legal risk, non-payment, or to protect the Service or other users. Upon termination, your right to use the Service ceases. Provisions that by nature should survive (including ownership, disclaimers, limitations, indemnity, and dispute terms) survive termination.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, except that: (a) if you are a consumer habitually resident in the European Economic Area, United Kingdom, Switzerland, Australia, or another jurisdiction that grants mandatory consumer protections, those mandatory protections remain available to you and nothing in these Terms limits them; and (b) local mandatory law may require a different governing law or venue for consumer contracts.

Subject to the foregoing, exclusive venue for disputes shall be the state or federal courts located in Delaware, USA, and you consent to personal jurisdiction there, except where mandatory law requires otherwise. WHERE PERMITTED BY LAW, YOU AND NOTEREFINER WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Nothing prevents either party from seeking interim injunctive relief in any court of competent jurisdiction.

You may not use, export, or re-export the Service in violation of U.S. or other applicable export-control or sanctions laws, or for the benefit of parties prohibited under such laws.

These Terms, together with the Privacy Policy and any plan-specific terms presented at purchase, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices may be sent to the email associated with your account or posted in the Service. Headings are for convenience only.
